Terms of Service

Effective date: July 2, 2026

1. Acceptance of these Terms

These Terms of Service (“Terms”) are a binding agreement between you and SpeakUp (“SpeakUp”, “we”, “us”) governing your use of tryspeakup.ai and the SpeakUp application, including all practice sessions, AI feedback, and related services (together, the “Service”). By creating an account or using the Service you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to these Terms. By using the Service you represent that you meet these requirements and have the legal capacity to enter into this agreement.

3. Your account

You are responsible for the accuracy of your registration information, for keeping your credentials confidential, and for all activity under your account. Notify us promptly at support@tryspeakup.ai if you suspect unauthorized access. We may suspend or disable accounts that violate these Terms.

4. Subscriptions, billing, and free tier

  • Free plan. The free tier includes a limited number of practice sessions per month and basic metrics. We may adjust free-tier limits with notice.
  • Paid plans. Pro and Team subscriptions renew automatically each billing period until cancelled. Prices are shown at checkout; taxes may apply. Payments are processed by Stripe — we never store your full card details.
  • Cancellation. You can cancel anytime from your account’s billing portal. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Refunds. Except where required by law, payments are non-refundable; however, if something went wrong, contact us within 14 days of a charge and we will review it in good faith.
  • Trials and promotions. Trial terms are shown when offered. If a trial converts to a paid plan, you will be charged unless you cancel before the trial ends.
  • Price changes. We will give at least 30 days’ notice before a price change affects your renewal.

5. The Service and AI feedback

SpeakUp analyzes your practice recordings to produce transcripts, speaking metrics (such as pace and filler words), and AI-generated coaching feedback. AI feedback is automatically generated, informational, and imperfect: it may contain errors and is not professional, medical, therapeutic, or career advice. We may add, change, or remove features, and we do not guarantee the Service will be uninterrupted or error-free.

6. Your content

You retain ownership of the recordings, transcripts, templates, and other content you create in the Service (“User Content”). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display User Content solely to operate and provide the Service to you. We do not use your identifiable recordings or transcripts to train AI models, and we do not sell your content. You are responsible for your User Content and must have the rights to anything you upload.

7. Acceptable use

You agree not to:

  • break the law or infringe others’ rights;
  • record other people without their knowledge and consent where consent is required;
  • probe, disrupt, overload, or attempt unauthorized access to the Service, or bypass usage limits and rate limits;
  • use bots or automation to access the Service, or resell it without our written permission;
  • upload malicious code or content that is unlawful, harassing, or exploits minors;
  • impersonate any person or misrepresent your affiliation.

8. Intellectual property

The Service — including its software, design, text, graphics, and trademarks — is owned by SpeakUp or its licensors and protected by U.S. and international law. We grant you a personal, non-transferable, revocable license to use the Service as intended by these Terms. The SpeakUp name and logo may not be used without our prior written permission.

9. Feedback to us

Ideas, suggestions, and feedback you send us about the Service are non-confidential, and you grant us the right to use them without restriction or compensation.

10. Termination

You may stop using the Service and delete your account at any time — on the web from Settings → Danger zone, and in the mobile app from Account → Danger zone. Deletion is permanent. We may suspend or terminate access (with or without notice) for breach of these Terms, unlawful use, risk to other users, or extended non-payment. Sections that by their nature should survive termination (including 6, 8, 9, and 11–15) survive.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT TRANSCRIPTS, METRICS, OR AI FEEDBACK WILL BE ACCURATE OR THAT THE SERVICE WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEAKUP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF $50 OR THE AMOUNTS YOU PAID US IN THAT PERIOD. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW, OR TO OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

13. Indemnification

You agree to defend and indemnify SpeakUp and its affiliates, officers, and employees against claims and expenses (including reasonable attorneys’ fees) arising from your User Content, your violation of these Terms, or your misuse of the Service.

14. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Disputes will be resolved exclusively in the federal or state courts located in New York County, New York, and you consent to their jurisdiction. Either party may instead elect binding arbitration administered by the American Arbitration Association under its rules, with arbitration conducted in New York applying New York law. You and SpeakUp each waive any right to a jury trial and to participate in a class action to the extent permitted by law.

15. Changes to these Terms

We may revise these Terms from time to time. We will post the updated Terms here with a new effective date and, for material changes, notify you by email or in the app. Changes to the dispute provisions do not apply to disputes that arose before the change. Continued use of the Service after changes take effect constitutes acceptance.

16. Miscellaneous

If any provision of these Terms is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. These Terms and the Privacy Policy are the entire agreement between you and SpeakUp regarding the Service and supersede prior agreements. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
